Brookfield Agrees to Acquire 100% of TerraForm Global and 51% of TerraForm Power (Multi-Region)

Brookfield Asset Management has agreed to acquire 100 percent of outstanding shares of NASDAQ-listed, emerging markets-focused renewable power platform TerraForm Global for US$787 million in cash and the assumption of approximately US$455 million in net debt. TerraForm Global owns and operates, or has contracts to acquire, 31 wind and solar power plants totaling 952 megawatts of capacity in Brazil, India, China, South Africa, Thailand, Malaysia and Uruguay. Brookfield will invest through New York Stock Exchange- and Toronto Stock Exchange-listed renewable power platform Brookfield Renewable Partners, which will also acquire a 51 percent stake in TerraForm Power, an operator of wind and solar assets in the United States, United Kingdom, Canada and Chile. The transactions, which are expected to be completed in the second half of 2017, are subject to shareholder and regulatory approvals, as well as the resolution of Chapter 11 bankruptcy proceedings of shareholder SunEdison.
